A. Lucklicious Tokenization Service — Terms & Conditions of Use

By accessing, creating, uploading, or tokenizing any content using the Lucklicious Tokenization Service (the “Tokenization Service”), you agree to the terms below. If you do not agree, you must not use the Tokenization Service.

1. Eligibility

By using the Tokenization Service, you confirm that you are:

• At least 18 years of age (or the age of majority in your jurisdiction);
• Legally permitted to create, own, and distribute digital assets; and
• Not using the system for any unlawful or restricted purpose.

2. User Responsibilities

2.1 Authenticity of Tokenized Content

You agree that you will:

• Only tokenize content you fully own, created yourself, or have explicit legal rights to tokenize;
• Ensure your content is original, truthful, and not misleading; and
• Accurately describe the token, its purpose, and its utility.

2.2 No Abuse of the Platform

You agree NOT to:

• Create fraudulent, deceptive, or manipulated tokens;
• Spam the platform or misuse system features; or
• Attempt to exploit, reverse-engineer, or disrupt the Tokenization Service or its security systems.

2.3 No Copyright Infringement

You agree not to:

• Upload or tokenize any content that infringes the intellectual property rights of others;
• Copy, replicate, modify, or distribute content without permission; or
• Use AI-generated images to replicate existing copyrighted works without rights to do so.

Lucklicious reserves the right to remove any infringing content or suspend accounts that violate these rules.

2.4 No Illegal Activities

You agree not to use Lucklicious to:

• Launder money or conduct financial crimes;
• Create tokens linked to drugs, weapons, violence, hate material, or other prohibited content; or
• Promote scams, phishing, or other harmful activities.

Any illegal use may result in immediate suspension and possible reporting to authorities where required by law.

3. User Ownership & Rights

• You retain ownership of your original content.
• By tokenizing, you grant Lucklicious a limited license to store, process, display, and secure your tokenized item for as long as it exists on or through the platform.
• You may remove or delete your content unless it has already been sold, transferred, or has active royalty licensing or other obligations attached.

4. Marketplace & Transactions

• Users are responsible for the accuracy, legality, and description of any token they sell or trade;
• All transactions are generally final, except where otherwise required by applicable consumer protection laws; and
• Lucklicious may charge administrative or royalty fees as outlined on the platform.

5. Prohibited Token Types

Lucklicious does not allow tokenization of:

• Illegal content;
• Adult or explicit materials;
• Real-world personal data (e.g., IDs, documents) without explicit approval; or
• Content designed to mislead buyers, impersonate another creator, or violate regional, international, or platform-specific laws or policies.

6. Platform Rights & Enforcement

Lucklicious reserves the right, at its sole discretion, to:

• Remove any token or content violating these terms;
• Suspend or terminate accounts involved in abuse, fraud, or illegal activity; and
• Restrict access to features or tools without prior notice.

Decisions made by Lucklicious regarding violations are final, subject to applicable law.

7. Limitation of Liability

You understand and agree that:

• Lucklicious is not liable for any user-generated content, tokenized material, or digital assets created or exchanged on the platform;
• Lucklicious is not responsible for disputes between users, creators, buyers, or external platforms;
• Lucklicious does not guarantee the value, success, or performance of any tokenized asset;
• Lucklicious is not liable for losses from misuse, hacking attempts, user error, or blockchain-related issues (including Stellar or any integrated system); and
• The Tokenization Service is provided “as is” without warranties of any kind.

Your use of the Tokenization Service is entirely at your own risk.

8. Indemnification

You agree to indemnify, defend, and hold harmless Lucklicious, its partners, officers, employees, and affiliates from any claims, damages, losses, liabilities, or expenses arising from:

• Your use or misuse of the Tokenization Service;
• Your tokenized content;
• Your violation of these Terms & Conditions; or
• Any legal dispute involving your tokens or intellectual property.

9. Modifications to Tokenization Terms

Lucklicious may update or modify these Tokenization Terms at any time. Continued use of the Tokenization Service signifies acceptance of any changes. Users are encouraged to review the Terms regularly.

10. Governing Law

These Tokenization Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

B. Lucklicious Pledge Terms & Conditions

These Pledge Terms & Conditions (“Pledge Terms”) govern all pledges made through Lucklicious, including contributions toward digital items, eCharms, KarmaCharms, charitable initiatives, spiritual services, tokenization projects, or future platform features.

By making a pledge on Lucklicious, you agree to the following.

1. Definition of a Pledge

A “Pledge” is a voluntary financial commitment made by a user to support, for example:

• Upcoming eCharm releases;
• Future KarmaCharm features;
• Charitable or community-based initiatives;
• Spiritual-healing or blessing programs;
• Business token creation or development campaigns; or
• Any other Lucklicious-supported cause or feature.

A pledge is not a purchase, not a guarantee of delivery, and not an investment contract, unless expressly stated otherwise in writing.

2. No Guarantee of Outcome

By pledging, you acknowledge and agree that:

• Pledges support ongoing development, production, or charitable processes;
• Features or items associated with pledges may change, evolve, or require additional development time; and
• Lucklicious does not guarantee a specific outcome, product, feature, or benefit unless clearly stated as part of the pledge.

Pledges are generally non-refundable, except where required by applicable consumer protection laws in Ontario or other mandatory local law.

3. Use of Funds

Funds pledged may be used by Lucklicious for, including but not limited to:

• Platform development;
• Artwork, AI generation, or upgrades;
• Charitable contributions;
• Spiritual or energy-based service delivery;
• Operational expenses; or
• Marketing or community impact projects.

Lucklicious has discretion over how pledged funds are allocated, subject to any specific campaign details.

4. User Responsibilities

When making a pledge, you agree that:

• All information provided (name, payment details, intent) is accurate;
• You have legal authority to commit the funds;
• You understand what a pledge is and accept the conditions of non-refundability; and
• You will not use pledges for illegal, abusive, or fraudulent activities.

Attempts to misuse the pledge system may result in account suspension or other action.

5. Delivery of Associated Rewards

Some pledges may include bonus items or access, such as early access to KarmaCharms, limited-edition eCharms, charitable badges, recognition, bonus tokenization credits, or special spiritual blessings or healings.

Lucklicious will make reasonable efforts to deliver these optional rewards; however:

• Delivery timelines may vary;
• Digital content may change during development; and
• Delays or changes do not entitle users to refunds, except where required by law.

6. Charitable & Community Pledges

If your pledge supports charity-driven KarmaCharms or donation campaigns:

• Lucklicious may donate a portion of pledged funds to selected charities;
• Charity recipients may change based on availability, impact, or suitability; and
• Pledges are generally not tax-deductible unless clearly stated and supported by appropriate official documentation.

Lucklicious is not responsible for how third-party charities use donated funds.

7. Intellectual Property

When a pledge relates to user-created or user-submitted content (such as token images or project ideas):

• You confirm you own the rights to anything you submit;
• You grant Lucklicious permission to evaluate, process, or use the submission for pledge-related purposes;
• Lucklicious may decline any submitted content for safety, legality, or quality reasons.

8. Payment Processing for Pledges

All pledge payments are processed securely through Stripe or another approved payment provider. By pledging, you also agree to the applicable payment provider’s terms and policies.

Lucklicious is not liable for payment failures caused by Stripe, banks, or user error, subject to applicable law.

9. No Liability

You agree that, to the fullest extent permitted by law:

• Lucklicious is not liable for delays, changes, or cancellations related to pledges;
• Lucklicious is not responsible for user misunderstandings of what a pledge represents;
• Lucklicious is not responsible for lost value, digital changes, or unmet expectations; and
• Pledges are made voluntarily at your own risk.

10. Fraud, Abuse, or Misconduct

Lucklicious reserves the right to:

• Investigate any suspicious activity;
• Cancel fraudulent pledges;
• Block abusive or non-compliant accounts;
• Report illegal actions to authorities; and
• Withhold digital goods until issues are resolved.

11. Changes to Pledge Terms

Lucklicious may update or modify these Pledge Terms at any time. The updated Terms apply to all current and future pledges from the effective date of change.

12. Governing Law – Pledges

These Pledge Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Lucklicious uses Stripe, a secure third-party payment processor, to handle transactions made on the platform. By making any purchase, payment, or transaction on Lucklicious, you agree to the following Stripe-related Terms & Conditions, in addition to the general Terms of Use.

1. Third-Party Payment Processing (Stripe)

All payments made on Lucklicious— including purchases of eCharms, KarmaCharms, tokenized assets, subscriptions, upgrades, services, pledges, or marketplace transactions—are processed through Stripe, Inc. (or its affiliates).

By using Lucklicious, you also agree to Stripe’s own legal terms, including (as applicable):

• Stripe Terms of Service;
• Stripe Privacy Policy; and
• Stripe Acceptable Use Policy.

Stripe may update its documentation and terms from time to time.

2. Collection of Payment Information

When you enter payment details on Lucklicious:

• Your payment information is transmitted securely to Stripe;
• Lucklicious does not store and does not have access to your full credit card number, security code, or banking credentials; and
• Stripe may securely store your payment details for future transactions if you choose to enable that option.

You authorize Stripe to process your payment in accordance with your purchase or pledge.

3. Authorization of Charges

By completing a transaction, you confirm that:

• You are authorized to use the selected payment method; and
• You authorize Stripe to charge the full amount, including any applicable:
  • Taxes;
  • Fees;
  • Subscription renewals;
  • Marketplace purchases; and
  • Royalty or platform fees (where applicable).

Recurring charges (for subscriptions or memberships) will continue until canceled in accordance with the applicable terms.

4. Fraud Monitoring & Verification

Stripe may, in its sole discretion:

• Perform fraud checks, identity verification, or security reviews;
• Decline, delay, or block transactions that appear suspicious; or
• Require additional verification before processing a transaction.

Lucklicious is not responsible for delays or declines caused by Stripe’s fraud protection systems or by your bank or card issuer.

5. Refunds & Disputes

Refunds for digital items such as eCharms, KarmaCharms, tokenized assets, AI-created images, or other transactions are handled in accordance with Lucklicious’s Refund Policy and any applicable consumer protection laws.

Stripe may also process chargebacks or disputes under its own procedures. In the event of a dispute:

• You should first contact Lucklicious Support to attempt to resolve the issue; and
• Stripe or your bank may temporarily withhold funds until the dispute is resolved.

Users may be responsible for any false, fraudulent, or abusive chargebacks.

6. Payment Errors

If a payment fails due to, for example:

• Insufficient funds;
• Expired card;
• Network or technical error; or
• Stripe-related technical issues,

Lucklicious may suspend or restrict access to the related service, pledge benefit, or digital item until payment is successfully completed.

Lucklicious is not liable for transaction interruptions caused by Stripe, your bank, or your payment provider, except as required by applicable law.

7. Currency & Conversion

All transactions occur in the currency displayed at checkout. If your bank or card issuer requires currency conversion:

• Your bank or card provider determines the exchange rate and any related fees; and
• Lucklicious does not control or influence conversion rates or charges.

8. Marketplace Transactions

For peer-to-peer sales or resales of tokenized assets:

• Stripe facilitates the payment, but users are responsible for the accuracy and legality of the transaction;
• Lucklicious may deduct platform fees, commissions, or royalties before releasing funds; and
• Lucklicious is not responsible for buyer/seller disputes involving marketplace items, except as required by law.

9. Limitations of Liability (Payments)

To the fullest extent permitted by applicable law, you agree that:

• Lucklicious is not liable for payment failures, delays, freezes, holds, or disputes caused by Stripe or by your bank or card issuer;
• Lucklicious is not responsible for unauthorized transactions resulting from user negligence, such as sharing passwords or failing to secure your devices; and
• Lucklicious cannot guarantee Stripe’s uptime, speed, availability, or error-free performance.

All payment processing is provided “as is” and relies on third-party systems.

10. Termination of Payment Services

Lucklicious may suspend or terminate your ability to make transactions if, for example:

• Fraud or suspicious activity is detected;
• Chargebacks exceed safe thresholds;
• You violate platform rules or these Payment Terms; or
• Stripe or another payment provider restricts your account.

Some purchases may become non-refundable if termination is caused by policy violation, subject to applicable law.
